Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the NowPlaying.Studio website and platform (the "Service") operated by NowPlayingStudio ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Acceptance of Terms

By creating an account, accessing, or using NowPlaying.Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

NowPlaying.Studio is a Software as a Service (SaaS) platform that provides tools and services for musicians, bands, and music industry professionals. Our Service includes, but is not limited to:

Tour management and scheduling tools
Music workspace for organizing and managing music projects
Website builder for creating artist websites
Biography generator
Merchandise management
Other related features and services as we may add from time to time

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and identification
Accept all responsibility for activities that occur under your account
Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis, as selected by you during registration or as subsequently modified.

4.2 Payment Processing

Payments are processed through our third-party payment processor, Paddle. By providing payment information, you authorize us to charge your payment method for all fees due in connection with your subscription.

4.3 Automatic Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for the same period. You authorize us to charge your payment method for the renewal term.

4.4 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated to you at least 30 days in advance. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

4.5 Refunds

We offer a 30-day money-back guarantee for new subscriptions. Refund requests must be submitted within 30 days of the initial subscription purchase. Refunds are processed at our discretion and may take 5-10 business days to appear in your account.

4.6 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of all content, data, and materials you upload, post, or otherwise provide through the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

5.2 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by NowPlaying.Studio and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software.

5.3 License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial use, as permitted by your subscription plan.

6. Acceptable Use

6.1 Permitted Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Violate any applicable local, state, national, or international law or regulation
Infringe upon or violate our intellectual property rights or the intellectual property rights of others
Transmit any material that is abusive, harassing, defamatory, obscene, or otherwise objectionable
Upload or transmit viruses, malware, or any other malicious code
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers connected to the Service
Use automated systems (bots, scrapers, etc.) to access the Service without our express written permission
Reverse engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or otherwise commercialize the Service without our written consent
Use the Service to compete with us or to build a similar or competitive service

6.2 Content Standards

User Content must not contain material that is illegal, harmful, threatening, abusive, or violates any third party's rights. We reserve the right to remove any User Content that violates these standards.

7. Third-Party Services and Integrations

The Service may integrate with third-party services (such as Spotify, social media platforms, payment processors, etc.). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We implement reasonable security measures to protect your data, but we cannot guarantee absolute security.

9. Service Availability and Modifications

9.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Termination

10.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings.

10.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content at any time after termination. We are not obligated to retain or provide you with any data after termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOWPLAYING.STUDIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY.

13. Indemnification

You agree to defend, indemnify, and hold harmless NowPlaying.Studio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

14.2 Dispute Resolution Process

Any disputes arising out of or relating to these Terms or the Service shall first be addressed through good faith negotiations. If a dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the Arbitration Act 1996, or through the courts of England and Wales.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements.

17. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
